2. Applicability

These Terms apply to NestLens, NestHR, APIs, Research Services, Professional Services, Customer Portals, Trial Accounts, Enterprise Contracts, and Integrations. Additional agreements may supplement these Terms.

3. Definitions

• Account — a registered user profile.
• Customer Data — information uploaded or submitted by customers.
• Platform — LabelNest products and associated systems.
• Subscription — paid or free access plans.
• User — individuals or organizations accessing services.
• Workspace — organizational environments within products.

4. Acceptance of Terms

By accessing services, users confirm that they have authority to enter agreements, are legally capable of contracting, will comply with applicable laws, and will provide accurate information. If using services on behalf of an organization, you represent authority to bind that organization.

5. Account Registration

Users may be required to create accounts and agree to provide accurate information, maintain updated information, protect credentials, restrict unauthorized access, and notify security incidents promptly. Users remain responsible for activity occurring under their accounts.

6. Subscriptions and Access

Services may be offered through free plans, trial plans, monthly subscriptions, annual subscriptions, enterprise agreements, usage-based pricing, and custom contracts. Features may vary by plan. LabelNest reserves the right to modify pricing, packaging, or features.

7. Payments

Customers agree to pay applicable fees, maintain valid billing methods, and pay taxes where applicable. Late payments may result in service restrictions, suspension, access limitations, or account termination.

8. Trials and Evaluation Access

Trial access may contain restrictions, expire automatically, exclude enterprise features, or be revoked without notice. No guarantee exists that trial features remain available permanently.

9. Acceptable Use

Users shall not break laws or regulations, attempt unauthorized access, share credentials improperly, reverse engineer services, abuse APIs, bypass limits or controls, conduct denial-of-service activities, introduce malware, perform credential stuffing, misrepresent identity, upload illegal content, or interfere with operations. Violation may result in immediate action.

10. Dataset Usage Restrictions

Users shall not redistribute datasets without authorization, sell exports without permission, create competing database mirrors, bulk scrape platform outputs, repackage intelligence outputs for resale, remove proprietary notices, or share restricted exports publicly. Dataset access is licensed, not sold.

11. Customer Data Responsibilities

Customers remain responsible for uploaded information, data quality, lawful collection, appropriate permissions, and internal compliance obligations. LabelNest is not responsible for customer-entered inaccuracies.

12. Product-Specific Terms — NestLens

NestLens may provide research outputs, monitoring alerts, relationship intelligence, contact intelligence, company intelligence, AI-assisted workflows, and public-source data. Users acknowledge information may change, public sources may contain inaccuracies, monitoring may experience delays, and outputs require verification. NestLens does not provide investment advice, legal advice, financial advisory services, or tax advice.

13. Product-Specific Terms — NestHR

NestHR processes workforce-related information. Customers remain responsible for HR compliance, employee permissions, labor law obligations, payroll obligations, and configuration choices. NestHR is software infrastructure and not HR consulting.

14. Intellectual Property

LabelNest retains ownership of platform software, source code, documentation, branding, interfaces, methodologies, workflows, proprietary datasets, and generated insights unless otherwise contracted. Customers retain ownership of submitted content.

15. Feedback License

Feedback submitted may be used to improve products, build new features, and optimize workflows without compensation obligations.

16. Third-Party Services

Services may integrate with third parties. LabelNest is not responsible for third-party outages, third-party policies, third-party inaccuracies, or third-party service failures.

17. Service Availability

Services may experience maintenance periods, infrastructure outages, vendor downtime, feature changes, or performance fluctuations. Continuous availability is not guaranteed unless contractually agreed.

18. Suspension Rights

Accounts may be restricted or suspended for non-payment, security risks, fraud concerns, abuse, policy violations, or excessive usage.

19. Termination

Users may terminate accounts subject to active obligations, billing commitments, and contractual requirements. Termination does not automatically erase retained information.

20. Disclaimers

Services are provided on an "as available" basis. We do not guarantee completeness, accuracy, uninterrupted service, commercial outcomes, or investment outcomes.

21. Limitation of Liability

To the maximum extent permitted by law, LabelNest shall not be liable for lost profits, lost revenue, lost opportunities, data loss, investment losses, indirect damages, or consequential damages.

22. Indemnification

Users agree to indemnify LabelNest from claims arising from misuse of services, customer data, violations of law, or breach of Terms.

23. Governing Law

These Terms shall be governed by Karnataka, India.

Courts having jurisdiction: Bengaluru, Karnataka.

24. Changes to Terms

Terms may change periodically. Updates may be communicated through website notices, product notifications, or email communications.
